Skillbanc’s domain name, Website and the Apps are owned, registered and operated by Skillbanc.com, a private company, having its registered office at 11710 Plaza American Dr Ste 200 Reston, VA 20190, United States. (hereinafter referred to as “N3xSkill” or “we” or “us” or “our” or “Company”).

These terms and conditions (“Terms and Conditions”) are between Skillbanc and you, (hereinafter referred to as “you” or “your” or “user(s)”. By accessing our website www.skillbanc.com (“Website”) and/or our application/database ‘Skillbanc’, referred together as the “Skillbanc Platform” you agree to be bound by the provisions of these Terms and Conditions.

Whether or not you have registered with the Skillbanc Platform, by using or visiting the Skillbanc Platform you indicate your agreement to (1) these Terms and Conditions and (2) Skillbanc ’s Privacy Policy, both which may be modified from time to time. Your continued use of the Skillbanc Platform shall be taken as your consent and acceptance to such modifications. 1. The Skillbanc Platform provides an online learning platform offering courses to students utilizing Skillbanc ’s instructional strategy and unique technology.

2. These Terms and Conditions apply to all users of the Skillbanc Platform, including educators who are also contributors of content or offer lessons through the Skillbanc Platform.

3. By accepting these Terms and Conditions, you confirm that you are either more than 18 years of age, or possess legal parental or guardian consent to enter into these Terms and Conditions

1. Skillbanc offers courses and content ("Content Offerings") from educators and other providers ("Content Providers"). While we always strive to provide high quality, uninterrupted Content Offerings from our Content Providers, unexpected events may occur. You agree and acknowledge that Skillbanc shall have the right at any time to change or discontinue any aspect or feature of the Skillbanc Platform, including, but not limited to, the Content Offerings.

2. A Content Provider may create a video, audio or course, by using the Skillbanc Platform. You agree and acknowledge that Skillbanc has no control over and assumes no responsibility for the Content Offerings and by using the Skillbanc Platform, you relieve Skillbanc from any and all liability arising from such Content Offerings.

3. The Skillbanc Platform may include or contain links to third-party websites. Skillbanc has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. Furthermore, Skillbanc does not censor or edit the content of any third-party site. By using the Skillbanc Platform, you expressly relieve Skillbanc from any and all liability arising from your use of any third-party website or services.

4. The Skillbanc Platform allows you to share your content, such as homework, exams, projects, other assignments you submit, and the like ("User Content"), with Skillbanc , educators, and/or other users. You are responsible for, the User Content you create and share. By submitting User Content to Skillbanc , you grant Skillbanc a worldwide, non-exclusive, royalty-free, perpetual and transferable license to use, copy, distribute, display, publish, make available online or electronically transmit, the User Content in connection with the Skillbanc Platform. Your also grant each user of the Skillbanc Platform a limited non-excusive license to access your User Content through the Skillbanc Platform, including without limitations for promoting the Skillbanc Platform in any media format and outlet.

5. Skillbanc Content Offerings utilized on the Skillbanc Platform which shall include but not be limited to trademarks, service marks and logos, process, images, software, graphics are owned by or licensed to Skillbanc and subject to copyright and other intellectual property rights under the law.

6. The Skillbanc Platform is protected by copyright, patent and trademark laws, and various other national and international IPR laws and regulations.

7. Skillbanc at its sole discretion may process any Content Offerings or User Content uploaded by you and/or a Content Provider to the Skillbanc Platform to confirm if the same is in accordance with the Skillbanc internal quality requirements and is compatible with the Skillbanc Platform.

1. You agree not to distribute in any medium any part of the Skillbanc Platform or its content outside of the Skillbanc Platform, without Skillbanc’s prior written authorization.

2. You agree not to alter or modify any part of the Skillbanc Platform.

3. You agree not to use the Skillbanc Platform for any commercial use unless you obtain Skillbanc ’s prior written approval.

4. In order to access some of the features of the Skillbanc Platform, you may have to create your account with Skillbanc . You agree and confirm that you will never use someone else’s account nor provide access to your account to any third party. When creating your account, you confirm that the information provided is accurate and your responsible for keeping your information up to date.

5. Your are solely responsible for the activities that occur on your account, and you shall keep your account password secure.

6. We care about the security of our users. While we work to protect the security of your account and related information, Skillbanc cannot guarantee that unauthorized third parties will not be able to breach our security measures. Please notify us immediately of any compromise or unauthorized use of your account by emailing contact@skillbanc.com

7. Skillbanc reserves the right to refuse access to the Skillbanc Platform, terminate accounts, remove or edit contents with or without any prior notice to you, if you breach any terms of these Terms and Conditions.

8. We also reserve the right to withhold or stop any payments that are to be made to an the user who has violated our Terms and Conditions. Payments shall only be made for all legitimate work that is not the subject matter of any violation or dispute.

9. We may suspend access to the Skillbanc Platform or require you to change your password if we believe that the Skillbanc Platform has been or is likely to be misused or breached.

1. As a Skillbanc Platform user, you may post reviews, comments and other content; send other communications; and submit suggestions, videos, audio, ideas, questions or other information as long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringement of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, mass mailings or any other form of spam. You understand that you are solely responsible for your own content and the consequences of submitting and publishing such content on the Skillbanc Platform.

2. You understand and confirm that you shall not during your use of the Skillbanc Platform at any time post or publish any content, comments or act in any way which will amount to harassment of any other user.

3. In your use of the Skillbanc Platform, you will at all times comply with all applicable laws and regulations.

4. You may access Content Offerings for your information and personal use solely as intended through the provided functionality on the Skillbanc Platform and as permitted under these Terms and Conditions. You shall not copy, reproduce, make available online or electronically transmit, publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content Offerings for any other purposes other than as provided herein without the prior written consent of Skillbanc .

5. You will not without obtaining prior written consent of Skillbanc, disclose to third party any Confidential Information that is disclosed to you during the term of your use of the Skillbanc Platform. This includes but is not limited to employee details, user list, business model, processes, ideas etc. relating to Skillbanc or the Skillbanc Platform which are not available in the public domain.

6. You agree not to circumvent, disable or otherwise interfere with security-related features of the Skillbanc Platform or features that prevent or restrict use or copying of any Content Offerings.

7. Skillbanc does not permit copyright infringing activities and infringement of intellectual property rights on the Skillbanc Platform, and Skillbanc will remove all content if properly notified that such Content infringes on another’s intellectual property rights.

1. The Skillbanc Platform and all its content is provided "as is", without warranty of any kind, either express or implied.

2. You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Skillbanc Platform and any contact you have with other users of the Skillbanc Platform remains with you.

3. Neither Skillbanc nor any other party involved in creating, producing, or delivering the Skillbanc Platform will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these terms, from the use of or inability to use the Skillbanc Platform from any interactions, communications or meetings with other users of the Skillbanc Platform or other persons with whom you communicate or interact as a result of your use of using the Skillbanc Platform whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Skillbanc has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.

You agree to release, defend, indemnify, and hold Skillbanc and its affiliates and subsidiaries, and their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the Skillbanc Platform or your violation of these Terms and Conditions; (b) your violation of any law or rights of any third party; or (c) User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.
